Terms of Use

These Terms of Use ("Terms") apply to your use of the Directory For USA website and services (the "Service"), operated by Directory For USA ("we", "us", "our"). By using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.

1. Who can use the Service

You must be at least 13 years old to use the Service, and old enough to form a binding contract where you live to buy a plan, claim or ad. If you use the Service on behalf of a business, you confirm that you are authorized to act for it, and "you" includes that business.

2. Your account

• Give accurate information when you sign up and keep it up to date.
• Confirm your email address. You need a confirmed email to add or claim listings, or buy plans or ads.
• Keep your password secure. You are responsible for activity on your account. Tell us through our contact page if you think someone else has used it.
• One person, one account. Don't create accounts to get around a suspension or to post reviews under different names.

3. Business listings

• Adding a listing is free. New listings are checked automatically and published right away if they pass. Listings that look like duplicates (for example, the same business in the same city or the same phone number) or spam are refused.
• Accuracy. Owners are responsible for making sure their listing is accurate, complete, lawful and up to date, and that they have the right to use any names, photos and logos they upload.
• Real businesses only. Listings must describe a real business that you own or are authorized to represent.
• Our rights. We may hide or remove any listing, or correct its formatting, at any time if we believe it is inaccurate, misleading, a duplicate, spam, or breaks these Terms or the law.

4. Reviews

• Reviews must describe your own honest, first-hand experience with the business and follow our review guidelines.
• Don't review your own business, a business you work for or are related to, or a competitor. Don't offer or accept payment or rewards for reviews.
• Reviews containing links or spam are refused automatically.
• Reviews can be written without an account. You must give your real name, email address and phone number; only your name is shown. One review per business per email address. Reviews can be reported, a review is hidden automatically when it receives enough reports, and we may hide, restore or remove any review at our discretion.
• Owners may reply to reviews publicly. Replies must follow the same guidelines.
• Reviews are the opinions of their authors, not of Directory For USA.

5. Claiming a listing

• You may claim a listing only for a business you own or are authorized to manage.
• Claims are verified automatically, either with a code sent to the listing's business email or to an address on the business website's domain, or, for listings nobody manages yet, by paying for an Instant claim.
• If we find that a claim was made without authorization or by misleading us, we may remove your access to the listing, give it back to the rightful owner, remove the listing and suspend your account. Fees for a claim made this way are not refunded.

6. Paid plans

• Plans (such as Verified and Featured) are priced in US dollars and paid in advance, per listing, by PayPal or card. The price and features are those shown on our Pricing page when you buy.
• Automatic renewal. When you choose automatic renewal at checkout, you authorize us, through PayPal, to charge the price shown at checkout at the start of each new billing period (monthly or yearly) until you cancel. The price and billing period are shown before you subscribe and on every receipt. You can turn off automatic renewal at any time in your dashboard (Plans & billing) or in your PayPal account; cancellation stops future charges and your plan stays active until the end of the period already paid for. Payments already made are not refunded except where required by law. For yearly plans we email you a reminder at least 30 days before each renewal. If you choose to pay once instead, the plan does not renew: we send a reminder email before it ends, and on its end date the listing returns to a free listing unless you renew.
• Plans apply to the listing they were bought for and can't be moved to another listing.
• Except where the law requires otherwise or we say otherwise in writing, payments are not refundable. If we remove a listing for breaking these Terms, the remaining time on its plan is not refunded.
• Payments are processed by PayPal under PayPal's own terms.

7. Self-serve advertising

• You can buy banner ads at Advertise. An ad goes live as soon as payment is complete and runs for one month. You may renew it at any time.
• Ads must follow our advertising guidelines. You are responsible for your ad and the page it links to, and you confirm that you have the rights to everything in it.
• If we can't deliver the spot you paid for, for example because it sold out before your payment completed, we refund you.
• We may pause or remove an ad that breaks the guidelines or these Terms. Ads removed for a violation are not refunded.
• We don't guarantee a particular number of views, clicks or customers.

8. Prohibited conduct

When using the Service, you agree not to:

• post false, misleading, defamatory, hateful, harassing, obscene or illegal content;
• post fake reviews, manipulate ratings or misuse the report feature;
• impersonate any person or business, or misrepresent your connection with one;
• send spam, unsolicited advertising or bulk messages through the Service;
• scrape, copy or collect data from the Service by automated means, or try to get around our spam protection, without our written permission;
• upload viruses or harmful code, or interfere with the security or operation of the Service;
• use contact details from the Service for anything other than genuinely contacting a business;
• break any law or infringe anyone's rights.

We may remove content and suspend or close accounts that break these Terms.

9. Content and intellectual property

You keep ownership of the content you post, such as listings, photos, reviews and replies. By posting it, you give us a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, adapt (for example, resize images) and distribute it in connection with operating and promoting the Service. This license continues for a reasonable time after you remove the content, and for as long as needed for backups and legal purposes.

The Service itself, including its design, software, text and logos (other than content posted by users), belongs to us or our licensors. You may not copy or reuse it without our permission.

If you believe content on the Service infringes your copyright or other rights, contact us with the details and we'll review it.

10. Disclaimers

Directory For USA is a directory. We don't endorse, recommend or guarantee any business listed on the Service, and we are not a party to any dealings between you and a business. Badges and placements such as Verified and Featured reflect a listing's plan, not a review of the business's quality. Information on listings is provided by owners and users, and we can't guarantee it is accurate or current. Check important details, such as licenses, insurance and prices, directly with the business.

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent allowed by law. We don't promise that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent allowed by law, Directory For USA and its operators will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Service or from any dealings with a business you found through it. Our total liability for any claim related to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or $100.

Some states don't allow certain limitations of liability, so some of these limits may not apply to you.

12. Indemnity

You agree to defend and hold harmless Directory For USA and its operators from claims, losses and costs (including reasonable attorneys' fees) arising from content you post, your use of the Service or your breach of these Terms.

13. Ending your use

You can stop using the Service at any time and ask us to close your account through our contact page. We may suspend or end your access if you break these Terms or if we need to for legal or security reasons. Sections that by their nature should continue (such as content licenses, disclaimers, limitation of liability and indemnity) continue after your use ends.

14. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Texas, and you agree to the jurisdiction of those courts, unless the law where you live requires otherwise.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we'll change the "Last updated" date above, and for significant changes we may also let you know by email or on the Service. Continuing to use the Service after a change means you accept the updated Terms.
